1. Acceptance of Terms

By accessing, purchasing, or using any ESSENTFLOW™ website, services, digital products, consulting, training, or materials, you agree to be bound by these Terms of Service and all related ESSENTFLOW™ policies and agreements.

If you do not agree to these Terms, you may not access or use ESSENTFLOW™ offerings.

2. Business Identity

ESSENTFLOW™ is owned and operated by [ESSENTFLOW™, a future Pennsylvania LLC] ("Company," "Consultant," "we," "us").

All references to ESSENTFLOW™ refer to proprietary systems, services, and materials owned by Company.

3. Scope of Services

ESSENTFLOW™ provides:

• Strategy consulting services
• Educational instruction and training
• Digital informational products and materials
• Membership subscriptions (including The Lab and ESSENTFLOW™ Magazine)
• Independently published research

ESSENTFLOW™ does not provide coaching, therapy, counseling, medical advice, legal advice, or financial advice.

Published research materials are released independently of any consulting or educational services purchased, are not peer-reviewed, and are not intended as clinical, diagnostic, or generalizable findings.

4. Access to ESSENTFLOW™ Materials

Access to ESSENTFLOW™ materials is granted on an email-specific, invite-only basis through the platform designated for the applicable product or service at the time of purchase, including our self-hosted platform and/or third-party course or community hosting platforms.

• Public access links are not used
• Access is non-transferable
• The email used at checkout must match the email used for platform access
• Sharing access credentials, invitations, or materials constitutes a material breach of these Terms.

5. Intellectual Property

All ESSENTFLOW™ content, systems, research, frameworks, curriculum, educational materials, methodologies, language, creative expression, and documentation are proprietary intellectual property owned exclusively by Company.

Use of ESSENTFLOW™ materials is governed by the ESSENTFLOW™ Intellectual Property, Content Use & Non-Infringement Agreement, incorporated herein by reference.

Unauthorized use, reproduction, sharing, teaching, AI ingestion, or creation of derivative works is strictly prohibited.

6. Sole Authority to Teach

ESSENTFLOW™ is a proprietary system taught exclusively by its creator, ESSENTFLOW™ by Shae.

No individual or entity is authorized to teach, train, present, certify, or instruct ESSENTFLOW™ concepts without express written permission from Company.

7. Payments & Refunds

All payments are processed through Stripe and governed by the ESSENTFLOW™ Refund Policy, incorporated herein by reference.

All sales are final unless otherwise stated in writing.

8. Chargebacks & Payment Disputes

You agree not to initiate chargebacks or payment disputes through Stripe or any other payment processor for services rendered or products delivered in accordance with Company policies.

Unauthorized chargebacks constitute a material breach and may result in enforcement action, including but not limited to:

• Immediate termination of access
• Revocation of licenses or permissions
• Submission of documentation to payment processors
• Recovery of fees, costs, or damages
• Pursuit of legal remedies where appropriate

9. Termination for Breach

Company reserves the right to immediately suspend or terminate access to ESSENTFLOW™ services, products, materials, and platforms without notice or refund if you:

• Breach any provision of these Terms or related ESSENTFLOW™ agreements
• Engage in unauthorized use, sharing, teaching, or reproduction of materials
• Initiate an unauthorized chargeback
• Misrepresent affiliation with ESSENTFLOW™
• Upload ESSENTFLOW™ materials to AI or automation tools
• Engage in unlawful, abusive, or harmful conduct

Upon termination, all licenses and permissions are immediately revoked, and you must cease all use of ESSENTFLOW™ materials.

10. User Conduct

You agree not to:

• Violate intellectual property rights
• Share or distribute protected materials
• Circumvent access controls
• Misrepresent ESSENTFLOW™ ownership or affiliation
• Use ESSENTFLOW™ materials for unlawful purposes

11. Service Availability & Limitation of Liability

Services are provided on an "as-is" and "as-available" basis. Company does not warrant that access to ESSENTFLOW™ platforms will be uninterrupted, timely, secure, or error-free. Company is not liable for server downtime, data loss, technical failures, or interruptions in access arising from hosting infrastructure, third-party services, or events outside Company's reasonable control.

To the maximum extent permitted by law, Company shall not be liable for any indirect, incidental, consequential, or special damages.

Company's total liability shall not exceed the amount paid by you for the applicable ESSENTFLOW™ service or product.

12. Indemnification

You agree to indemnify and hold harmless Company from claims, damages, losses, liabilities, or expenses arising from your misuse of ESSENTFLOW™ services or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

14. Modifications

Company reserves the right to update or modify these Terms at any time. Continued use of ESSENTFLOW™ constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with all incorporated ESSENTFLOW™ policies and agreements, constitute the entire agreement between you and Company.

Acknowledgment

By accessing or using ESSENTFLOW™ services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
